@tom - perhaps I should have noted that raising it only $1 would not do the trick either - Microsoft would have to drop another $5-$10 BILLION to get up to a level where Yahoo may accept the offer - which as you note with the proxy option, would still be a MAY.

Whoa lets check that reasoning and math for a second. A proxy fight will cost them $20/$30MM and they MAY get enough votes. Raising their offer price $1 only costs them $1B+ if they win it.

Not exactly apples -> apples...
