    A)Cuting the the overall size of the deal by 15 percent is one of the signs of disengagement
    B)A big elephant like Oracle in this case does not get hurt in this deal.
    C)External market events trigger provisions that made the acquisition untenable
    It the cocktail of events that make or break the deals.
    I feel this deal is a bust!

    I think (a) and (c) are absolutely correct. On (b), I'd only note that the SPAC Oracle Healthcare appears to be unrelated to Oracle the software company. SPACs are odd "blank check" companies designed specifically for acquisitions; in this case, I don't think the name shared with Larry Ellison's outfit actually means anything.
